في خطوة مفاجئة وصفت بأنها من أكبر التحركات الإعلامية في بريطانيا خلال السنوات الأخيرة، أعلنت شركة أكسل سبرنغر الألمانية العملاقة، اليوم (الجمعة) استحواذها على صحيفة التليغراف البريطانية مقابل 575 مليون جنيه إسترليني (662 مليون يورو). الصفقة تأتي لتقاطع محاولة الاستحواذ السابقة التي كان يخطط لها مالك صحيفة ديلي ميل لورد روثيرمير، وتنهي عامين ونصف العام من حالة عدم اليقين التي طالت الصحيفة.
وتخضع الصفقة المقترحة لموافقة السلطات البريطانية المختصة، في ظل رقابة وزارة الثقافة والإعلام والرياضة الرقمية، التي تشرف على عمليات دمج وسائل الإعلام لأسباب تتعلق بالمنافسة والتأثير الأجنبي.
شراء الضمانة يفتح الطريق للملكية الكاملة
اشترى الرئيس التنفيذي أكبر مساهم في أكسل سبرنغر ماتياس دوفنر ضمانة على صحيفة التليغراف من RedBird IMI المدعومة إماراتياً، والتي حاولت السيطرة على الصحيفة في أواخر 2023. وتتيح هذه الخطوة تحويل الضمانة إلى ملكية كاملة بسهولة، لتصبح الصحيفة تحت سيطرة أكسل سبرنغر بالكامل.
أكبر خطوة لـ«أكسل سبرنغر» في بريطانيا
تعد الصفقة النقدية بالكامل أكبر تحرك للشركة الألمانية في السوق البريطانية، وتأتي ضمن إستراتيجية دوفنر، الصحفي الموسيقي السابق، للتوسع في العالم المتحدث بالإنجليزية. وكانت الشركة قد قدمت عروضاً سابقة للاستحواذ على التليغراف عام 2004، وفاينانشال تايمز عام 2015 دون نجاح.
ولم تكن أكسل سبرنغر وحدها المهتمة بالصفقة، إذ كانت مجموعة ديلي ميل آند جنرال ترست قد اقترحت استحواذاً بقيمة 500 مليون جنيه إسترليني.
«أكسل سبرنغر».. من التأسيس إلى الريادة العالمية
بلغت عائدات أكسل سبرنغر 3.8 مليار يورو، مع أرباح صافية بلغت 738 مليون يورو العام الماضي، مما يجعلها واحدة من أكبر ناشري الأخبار عالمياً.
وقال دوفنر، البالغ من العمر 63 عاماً: «تأسست أكسل سبرنغر عام 1946 بموجب ترخيص صحفي بريطاني، وبُنيت مستلهمة من تقاليد شارع فليت. وكانت التليغراف نجم الشمال بالنسبة لنا. منذ أكثر من 20 عاماً حاولنا الاستحواذ عليها ولم ننجح، والآن يتحقق حلمنا بأن نكون مالكي هذه المؤسسة الصحفية البريطانية الراقية، وهو شرف وواجب».
وأضاف: «نسعى لتطوير صحيفة التليغراف مع الحفاظ على شخصيتها المميزة وإرثها، لجعلها أكثر وسائل الإعلام قراءة وإلهاماً فكرياً للتيار الوسطي-اليميني في العالم المتحدث بالإنجليزية. فصحيفة التليغراف تمثل الحرية، والمسؤولية الشخصية، والقيم الديمقراطية، والإيمان بالمجتمعات المفتوحة والاقتصادات السوقية».
موافقة الجهات الرقابية البريطانية
وقالت متحدثة باسم وزارة الثقافة والإعلام والرياضة الرقمية البريطانية: «نلاحظ الإعلان اليوم عن بيع مجموعة التليغراف الإعلامية. ستتابع وزيرة الدولة، كما فعلت دائماً، العملية التنظيمية المعمول بها وتقييم الصفقة الجديدة المقترحة، وسنوافي البرلمان بالتحديثات حول هذه العملية».
وأكد دوفنر، في بيانه، أن البائع والمشتري يعتقدان أن الصفقة متوافقة تماماً مع نظام التأثير الأجنبي للدولة في المملكة المتحدة.
In a surprising move described as one of the largest media maneuvers in Britain in recent years, the German giant Axel Springer announced today (Friday) its acquisition of the British newspaper The Telegraph for £575 million (€662 million). The deal comes to intersect with a previous acquisition attempt planned by the owner of the Daily Mail, Lord Rothermere, and ends two and a half years of uncertainty surrounding the newspaper.
The proposed deal is subject to approval from the relevant British authorities, under the oversight of the Department for Digital, Culture, Media and Sport, which supervises media mergers for competition and foreign influence reasons.
Buying the Guarantee Paves the Way for Full Ownership
The CEO and largest shareholder of Axel Springer, Matthias Döpfner, purchased a guarantee on The Telegraph from RedBird IMI, which is UAE-backed, and had attempted to take control of the newspaper in late 2023. This move allows for an easy transition from the guarantee to full ownership, placing the newspaper entirely under Axel Springer’s control.
Axel Springer’s Biggest Move in Britain
The all-cash deal is the largest move by the German company in the British market, falling under Döpfner's strategy, a former music journalist, to expand in the English-speaking world. The company had made previous offers to acquire The Telegraph in 2004 and the Financial Times in 2015 without success.
Axel Springer was not the only interested party in the deal, as the Daily Mail and General Trust group had proposed an acquisition worth £500 million.

Axel Springer’s revenues reached €3.8 billion, with a net profit of €738 million last year, making it one of the largest news publishers globally.
Döpfner, who is 63 years old, said: “Axel Springer was founded in 1946 under a British press license and was built inspired by the traditions of Fleet Street. The Telegraph has been our North Star. For over 20 years, we have tried to acquire it unsuccessfully, and now our dream of being the owners of this prestigious British media institution is coming true, which is an honor and a duty.”
He added: “We aim to develop The Telegraph while preserving its distinctive character and legacy, to make it the most read and intellectually inspiring media outlet for the center-right in the English-speaking world. The Telegraph represents freedom, personal responsibility, democratic values, and faith in open societies and market economies.”
Approval from British Regulatory Authorities
A spokesperson for the UK Department for Digital, Culture, Media and Sport said: “We note today’s announcement regarding the sale of the Telegraph Media Group. The Secretary of State will, as always, follow the established regulatory process and assess the proposed new deal, and we will update Parliament on this process.”
Döpfner confirmed in his statement that both the seller and the buyer believe the deal is fully compliant with the UK’s foreign influence regime.
