أوضحت وزارة التجارة اشتراطات ومتطلبات نقل ملكية السجل التجاري لمؤسسة فردية من وإلى شخص آخر عبر الخدمات الإلكترونية لمنصة الأعمال التابعة للمركز السعودي للأعمال: business.sa.
وتستهدف الخدمة المستثمر السعودي أو الخليجي، ويتم تنفيذها خلال يوم واحد، ويشترط أن يكون السجل التجاري نشطاً، وألا يكون المالك الجديد ممتلكاً سجلاً تجارياً لمؤسسة فردية، وألا يكون المالك الجديد موظفاً حكومياً، وألا يقل عمره عن 18 سنة، وألا يكون اسم السجل التجاري بالاسم الشخصي للمُتنازِل.
وأشارت الوزارة إلى أنه في حال كان الشخص المنقول منه السجل التجاري متوفى يتم تقديم صك حصر الورثة، وتقديم صك الولاية في حال وجود قُصّر، ووجود وكالة شرعية من جميع الورثة تنص على التنازل عن المؤسسة، ووجود عقد مبايعة وتنازل من الورثة موضحاً فيه رقم السجل، ويتم تقديم ذلك إلكترونياً عبر «منصة الأعمال».
يذكر أن وزارة التجارة بينت أخيراً، أن الشكل الجديد للسجل التجاري الذي يصدر إلكترونياً للتاجر، يتضمن جميع البيانات المتعلقة بالمنشأة، ويمكن الوصول لها بسهولة عبر مسح رمز الـ«QR» الظاهر في الناحية اليسرى لشهادة السجل التجاري.
وخضعت شهادة السجل التجاري للتطوير تزامناً مع نفاذ نظام السجل التجاري الجديد ولائحته التنفيذية، وتضمنت أبرز التغييرات: الاكتفاء بسجل تجاري واحد للمنشأة على مستوى المملكة، شاملاً جميع أنشطتها، وإلغاء خانة انتهاء صلاحية السجل بعد استحداث متطلب التأكيد السنوي «إلكترونياً» لبيانات السجل التجاري بدلاً من عملية التجديد.
ويتكون الشكل الجديد للسجل التجاري من صفحة واحدة فقط، ويمكن الوصول إلى جميع بياناته عبر رمز «QR»، وأبرز البيانات: أنشطة السجل التجاري، وتاريخ القيد في السجل، وتاريخ التأكيد السنوي، والعنوان المعتمد للمنشأة، وقائمة المديرين، وقيمة رأس المال وغيرها، ويُقبل السجل التجاري بالشكل الجديد لدى جميع الجهات الحكومية والخاصة والبنوك بناءً على النظام ولائحته التنفيذية.

The Ministry of Commerce has clarified the conditions and requirements for transferring ownership of the commercial registration of an individual establishment from one person to another through the electronic services of the Business Platform affiliated with the Saudi Business Center: business.sa.
This service targets Saudi or Gulf investors and is executed within one day. It is required that the commercial registration is active, that the new owner does not already own a commercial registration for an individual establishment, that the new owner is not a government employee, that they are at least 18 years old, and that the name of the commercial registration is not in the personal name of the transferor.
The ministry indicated that if the person from whom the commercial registration is being transferred is deceased, a certificate of inheritance must be submitted, along with a guardianship certificate in the case of minors, and a legal power of attorney from all heirs stating the transfer of the establishment, as well as a sale and transfer contract from the heirs detailing the registration number. This must be submitted electronically via the "Business Platform".
It is worth mentioning that the Ministry of Commerce recently stated that the new format of the commercial registration issued electronically to the trader includes all data related to the establishment and can be easily accessed by scanning the QR code displayed on the left side of the commercial registration certificate.
The commercial registration certificate has been developed in conjunction with the implementation of the new commercial registration system and its executive regulations. The most notable changes include the sufficiency of one commercial registration for the establishment at the national level, encompassing all its activities, and the cancellation of the expiration date field for the registration after introducing the requirement for annual confirmation of the commercial registration data "electronically" instead of the renewal process.
The new format of the commercial registration consists of only one page, and all its data can be accessed via a QR code. The most important data includes: the activities of the commercial registration, the registration date, the annual confirmation date, the approved address of the establishment, the list of managers, the capital value, and others. The new commercial registration is accepted by all government and private entities and banks based on the system and its executive regulations.
