أعلنت شركة نستله، عملاق الصناعات الغذائية السويسرية، أمس (الإثنين)، إقالة رئيسها التنفيذي لوران فريكس بشكل فوري، بعد تحقيق داخلي كشف عن دخوله في علاقة مع موظفة تابعة له مباشرة، في خرق واضح لمدونة قواعد السلوك الخاصة بالشركة.
وقالت «نستله» إن التحقيق، الذي أشرف عليه رئيس مجلس الإدارة بول بولكه والمدير المستقل بابلو إيسلا وبمساعدة مستشار خارجي، أكد أن فريكس لم يكشف عن العلاقة، ما يُعد انتهاكاً لسياسات الشركة التي تحظر العلاقات الشخصية غير المعلنة مع المرؤوسين المباشرين بسبب تضارب المصالح.
وأوضحت الشركة، التي تُعد أكبر منتج للأغذية المعبأة في العالم، أن القرار كان «ضرورياً» للحفاظ على قيم الشركة ومعايير الحوكمة، في حين قال بول بولكه في بيان: «قيم «نستله» ونظام الحوكمة يشكلان أساس الشركة. نشكر لوران على سنوات خدمته»، وعُين فيليب نافراتيل، الرئيس التنفيذي السابق لوحدة «نسبريسو»، خلفاً لفريكس بأثر فوري، إذ أشار إلى التزامه بالإستراتيجية الحالية للشركة وتعزيز الأداء دون تغيير المسار.
وأثار القرار جدلاً واسعاً، خصوصاً أن فريكس، الذي قضى 40 عاماً في «نستله»، تولى منصب الرئيس التنفيذي في سبتمبر 2024 خلفاً لمارك شنايدر، في وقت كانت الشركة تواجه تحديات اقتصادية، بما في ذلك انخفاض مبيعاتها بنسبة 1.8% في النصف الأول من 2025، لتصل إلى 44.2 مليار فرنك سويسري (حوالى 55 مليار دولار)، وسط تراجع الطلب الاستهلاكي وارتفاع تكاليف الإنتاج.
وتُعد «نستله»، التي تمتلك علامات تجارية شهيرة مثل «كيت كات»، و«نسكافيه»، و«بورينا»، أكبر شركة أغذية في العالم بمبيعات تجاوزت 101.5 مليار دولار في 2024، ويعود قرار إقالة فريكس إلى تقرير ورد عبر خط الإبلاغ الداخلي للشركة في ربيع 2025، ما دفع مجلس الإدارة إلى فتح تحقيق أولي غير حاسم، تبعه تحقيق ثانٍ مع مستشار خارجي أكد العلاقة غير المعلنة.
وأثار هذا الحدث مقارنات مع فضائح مشابهة، مثل استقالة الرئيس التنفيذي لشركة «بي بي» برنارد لوني، في سبتمبر 2023، بسبب عدم الكشف عن علاقات مع زملاء، وإقالة رئيس «كولز» أشلي بوكانان، في مايو 2025، بعد علاقة شخصية مع مورد.
ويُعد هذا التغيير القيادي الثاني في «نستله» خلال عامين، بعد إقالة مارك شنايدر، الذي كان ثاني رئيس تنفيذي يُعين من خارج الشركة في تاريخها الممتد 159 عاماً، ويُنظر إلى تعيين نافراتيل، الذي انضم إلى «نستله» في 2001 وتولى قيادة «نسبريسو» في يوليو 2024، كخطوة للحفاظ على استمرارية الإستراتيجية رغم الاضطرابات.
Swiss food giant Nestlé announced yesterday (Monday) the immediate dismissal of its CEO, Laurent Freix, following an internal investigation that revealed he had entered into a relationship with a directly subordinate employee, in a clear violation of the company's code of conduct.
Nestlé stated that the investigation, overseen by Chairman Paul Bulcke and independent director Pablo Isla with the assistance of an external consultant, confirmed that Freix did not disclose the relationship, which constitutes a breach of the company's policies that prohibit undisclosed personal relationships with direct reports due to conflicts of interest.
The company, which is the largest producer of packaged foods in the world, explained that the decision was "necessary" to uphold the company's values and governance standards, while Paul Bulcke said in a statement: "Nestlé's values and governance system form the foundation of the company. We thank Laurent for his years of service." Philippe Navratil, the former CEO of the Nespresso division, was appointed as Freix's immediate successor, indicating his commitment to the company's current strategy and enhancing performance without changing course.
The decision sparked widespread controversy, especially since Freix, who spent 40 years at Nestlé, took over as CEO in September 2024 following Mark Schneider, at a time when the company was facing economic challenges, including a 1.8% decline in sales in the first half of 2025, reaching 44.2 billion Swiss francs (approximately 55 billion dollars), amid falling consumer demand and rising production costs.
Nestlé, which owns well-known brands such as Kit Kat, Nescafé, and Purina, is the largest food company in the world with sales exceeding 101.5 billion dollars in 2024. The decision to dismiss Freix stemmed from a report received through the company's internal reporting line in the spring of 2025, prompting the board to initiate a preliminary inconclusive investigation, followed by a second investigation with an external consultant that confirmed the undisclosed relationship.
This event has drawn comparisons to similar scandals, such as the resignation of BP CEO Bernard Looney in September 2023 for failing to disclose relationships with colleagues, and the dismissal of Coles CEO Ashley Buchanan in May 2025 after a personal relationship with a supplier.
This marks the second leadership change at Nestlé in two years, following the dismissal of Mark Schneider, who was the second CEO appointed from outside the company in its 159-year history. Navratil's appointment, who joined Nestlé in 2001 and took over leadership of Nespresso in July 2024, is seen as a move to maintain strategic continuity despite the upheavals.
