اعتمدت وزارة التجارة اللائحة التنفيذية لنظام السجل التجاري، وتضمنت التزام التاجر بالحصول على ترخيص ممارسة النشاط المقيد في السجل، وعلى الجهة المرخصة إشعار المسجل بأي تحديث يطرأ على البيانات.
وفي حال مضى 90 يوماً من تاريخ قيد النشاط في السجل دون إصدار الترخيص للأنشطة التي تتطلب ذلك أو دون تقديم التاجر ما يثبت ممارسته نشاطاً لا يتطلب ترخيصاً، على المسجل شطب القيد وللمسجل تمديد هذه المدة من تلقاء نفسه أو بناء على طلب التاجر وعلى المستثمر الأجنبي عند طلب القيد في السجل التجاري إرفاق ما يفيد التسجيل لدى وزارة الاستثمار أو غيرها من الجهات المختصة، إضافة إلى الوثائق التي يحددها المسجل مع ترجمة عربية معتمدة لها.
ويقيد التاجر في السجل التجاري مرة واحدة وإن تعددت أنشطته وفروعه، ويعلق المسجل قيد التاجر والخدمات المرتبطة به إذا لم يقدم التأكيد السنوي خلال 90 يوماً من تاريخ استحقاقه.
واشتملت اللائحة على إجراءات الشطب الاختياري، وأبرزها إذا تقدم التاجر بطلب شطب القيد اختيارياً، فعلى المسجل البت فيه خلال 10 أيام، ويكون شطب قيد الشركة أو فرع الشركة الأجنبية من السجل بعد الانتهاء من إجراءات التصفية بموجب نظامي الشركات والإفلاس ولا يعفى التاجر ذو الصفة الطبيعية إذا شطب قيده من السجل من أداء المقابل المالي وأي التزامات أخرى.
وطبقاً للائحة التنفيذية يجوز لأي من ورثة التاجر ذي الصفة الطبيعية المتوفى تقديم طلب الاستمرار في مزاولة النشاط خلال 60 يوماً من حدوث الوفاة، وفي حال تقديم الطلب خلال هذه المدة، على مقدم الطلب الانتهاء من الإجراءات النظامية المتعلقة بالاستمرار خلال 180 يوماً وللمسجل بناء على حالات يقدرها تمديد هذه المدة.
وإذا لم يلتزم ورثة التاجر ذي الصفة الطبيعية المتوفى بإنهاء الإجراءات المتعلقة بالاستمرار في مزاولة النشاط خلال 180 يوماً، على المسجل بعد تحققه من الوفاة إشعار الورثة بشطب قيد التاجر المتوفى خلال 30 يوماً من تاريخ الإشعار، وإذا انقضت هذه المدة دون تمديدها أو إنهاء الإجراءات المتعلقة بالاستمرار على المسجل شطب قيد التاجر المتوفى من السجل وإشعار الورثة.
واحتوت اللائحة على حالات الاستثناء من القيد، ومنها: من يزاول عملاً تجارياً موسمياً مؤقتاً مرخصاً، ومن يزاول عملاً تجارياً من الباعة المتجولين أو من السيارات والعربات المتجولة المرخصة لها من وزارة البلديات، ومن يزاول عملاً تجارياً من الأسر المنتجة المسجلة لدى بنك التنمية الاجتماعية، ومن يزاول عملاً تجارياً من المنشآت متناهية الصغر من خلال حاضنات الأعمال المرخصة لها من الهيئة العامة للمنشآت الصغيرة والمتوسطة، ولا يخل استثناء التاجر بخضوعه للأحكام المترتبة على التجار بموجب الأنظمة ذات العلاقة.
غرامات على المخالفين
صنفت اللائحة المخالفات على فئات عدة، منها: عدم تقديم تأكيد البيانات السنوي وغرامتها 500 ريال على المؤسسة الفردية، و1,600 ريال على شركة المساهمة المبسطة وفرع الشركة الأجنبية، و1,200 ريال على الشركة ذات المسؤولية المحدودة و1,000 على شركة التضامن وشركة التوصية البسيطة، أما عدم تحديث البيانات فغرامتها 500 ريال.
وتفرض غرامة 1,000 ريال على عدم عرض البيانات الأساسية من خلال الرمز الإلكتروني الموحد في مكان واضح داخل المنشأة وخارجها، ومثلها لعدم تقديم بيانات الحساب البنكي، و5,000 ريال غرامة ممارسة النشاط التجاري دون القيد في السجل التجاري، و10,000 ريال غرامة تقديم التاجر بيانات غير صحيحة في السجل التجاري تؤدي إلى التضليل.

The Ministry of Commerce has adopted the executive regulation for the Commercial Registration System, which includes the trader's obligation to obtain a license to practice the activity registered in the record, and the licensing authority must notify the registrant of any updates to the data.
If 90 days pass from the date of registering the activity in the record without issuing the license for activities that require it or without the trader providing proof of practicing an activity that does not require a license, the registrant must cancel the registration. The registrant may extend this period on their own or at the request of the trader. Additionally, the foreign investor, when requesting registration in the commercial record, must attach proof of registration with the Ministry of Investment or other relevant authorities, along with the documents specified by the registrant, accompanied by an approved Arabic translation.
The trader is registered in the commercial record only once, even if they have multiple activities and branches. The registrant will suspend the trader's registration and the associated services if the annual confirmation is not submitted within 90 days from the due date.
The regulation includes procedures for voluntary cancellation, the most notable of which is that if the trader submits a request for voluntary cancellation, the registrant must decide on it within 10 days. The cancellation of the company's registration or the registration of the foreign branch from the record occurs after completing the liquidation procedures according to the Companies and Bankruptcy Laws, and the trader with a natural person status is not exempt from paying the financial fees and any other obligations if their registration is canceled.
According to the executive regulation, any of the heirs of a deceased trader with a natural person status may submit a request to continue practicing the activity within 60 days of the date of death. If the request is submitted within this period, the applicant must complete the legal procedures related to the continuation within 180 days, and the registrant may extend this period based on circumstances they deem appropriate.
If the heirs of the deceased trader with a natural person status do not complete the procedures related to continuing the activity within 180 days, the registrant, after verifying the death, must notify the heirs of the cancellation of the deceased trader's registration within 30 days from the date of notification. If this period elapses without extension or completion of the procedures related to continuation, the registrant must cancel the registration of the deceased trader from the record and notify the heirs.
The regulation includes cases of exemption from registration, including: those engaged in a licensed temporary seasonal commercial activity, those engaged in commercial activities as street vendors or from licensed mobile vehicles and carts by the Ministry of Municipalities, those engaged in commercial activities from registered productive families with the Social Development Bank, and those engaged in commercial activities from micro-enterprises through licensed business incubators by the General Authority for Small and Medium Enterprises. The exemption of the trader does not affect their subjection to the provisions applicable to traders under the relevant regulations.
Fines for Violators
The regulation classifies violations into several categories, including: failure to submit the annual data confirmation, with a fine of 500 riyals for the individual establishment, 1,600 riyals for the simplified joint-stock company and foreign branch, 1,200 riyals for the limited liability company, and 1,000 riyals for the partnership and simple commandite company. The fine for failing to update data is 500 riyals.
A fine of 1,000 riyals is imposed for failing to display the basic data through the unified electronic code in a clear location inside and outside the establishment, and the same amount for failing to provide bank account data. A fine of 5,000 riyals is imposed for practicing commercial activity without registration in the commercial record, and a fine of 10,000 riyals is imposed for the trader providing incorrect data in the commercial record that leads to misleading information.
