A decision issued by the relevant authorities has obligated the government sector to which a municipal property linked to an existing investment contract is transferred to continue with the contract and fulfill the obligations arising from it, or to compensate the investor for all damages resulting from its cancellation.
The decision addresses the case of the transfer of property from the Ministry of Municipalities and Housing to another government entity under a regulatory instrument, while an active investment contract exists on the property at the time of its transfer, thus preserving the investor's contractual rights despite the transfer of the property to another entity.
The decision stipulates the obligation of the entity to which the property is transferred to adhere to the investment contract signed regarding it as long as it is in effect, while also obligating it to compensate the investor for all damages resulting from the cancellation if it decides to terminate the contract.
In this way, the decision provides direct protection for existing investment contracts, as the transfer of property from one government entity to another does not, in itself, lead to the termination of the contract or the loss of associated rights.
As part of organizing the calculation of compensations, the decision has tasked the Saudi Authority for Accredited Valuers "Taqeem," in coordination with the relevant entities, to prepare a mechanism for assessing the damages resulting from the cancellation of investment contracts for municipal properties transferred from the Ministry of Municipalities and Housing to other entities.
The mechanism is expected to establish unified professional foundations for estimating the damages and losses resulting from the termination of contracts, with the authority required to submit what is necessary to complete regulatory procedures in this regard.
The scope of the decision is limited to investment contracts related to municipal properties that have been transferred from the Ministry of Municipalities and Housing to another entity, based on a regulatory instrument, and does not include all cases of cancellation of municipal investment contracts.
Protection of Contracts
The decision enhances contractual security in municipal investments, especially long-term projects, as it presents the entity to which the property is transferred with two clear paths: to continue with the existing contract or to compensate the investor for all damages resulting from its cancellation.
This regulation represents an additional guarantee for investors by protecting contracts from the effects of property transfers between government entities and establishing an institutional path for estimating compensation upon their termination.
