دخلا بابتسامة ومصافحة، وخرجا بدعوى وقطيعة، البداية كانت فكرة واعدة بين صديقين، أذاب بينهما «العشم» خطوط الحذر التنظيمي، فتجاهلا التوثيق وقالا: «نحن أكبر من العقود»، دارت الأيام وتضخمت الأرباح، واختلفت الرؤى، فتحوّلت ذكريات السنين إلى خصومة قضائية، وضاعت الحقوق في دهاليز الاتفاقات الشفهية.
هذا المشهد ليس مجرد دراما اجتماعية، بل ثغرة نظامية تتكرر في أروقة المحاكم.
والمفارقة أن كثيراً من النزاعات لا تبدأ بخيانة أحد الطرفين، بل باختلاف الذاكرة والتوقّعات، أحدهما يتذكر الاتفاق بصورة، والآخر يفهمه بصورة أخرى من يدير؟ من يقرر؟ كيف توزع الأرباح؟ وماذا يحدث إذا أراد أحد الشريكين الانسحاب؟، أسئلة تبدو ثقيلة في لحظة البدايات الجميلة، لكنها تصبح أثقل بكثير عندما تطرح لأول مرة أمام القضاء.
في البيئة الاستثمارية السعودية الحديثة، لا يكفي حُسن النية وحده لحسم النزاع؛ فـ«نظام الإثبات» نظم وسائل الإثبات وحجيتها، والقضاء عند الخصومة يبحث عما يمكن إثباته، لا عمّا استقر في النوايا.
إن التشريعات السعودية الحديثة، وفي مقدّمتها «نظام الشركات» و«نظام المعاملات المدنية»، وفرت إطاراً نظامياً يساعد على بناء العلاقات التعاقدية بصورة أكثر وضوحاً، فكتابة عقد شراكة محكم، وتحديد الحصص والمسؤوليات وآليات اتخاذ القرار والخروج، ليست سوء ظن بالصديق، بل ممارسة وقائية تصون أموال الطرفين وتدعم استدامة الكيان.
والعقد الجيد لا يحمي المال فقط؛ فأحياناً يحمي الصداقة نفسها، لأنه ينقل الأسئلة الحساسة من لحظة الخلاف إلى لحظة الاتفاق، حين تكون النفوس هادئة والمصالح متقاربة.
«العشم» في عالم المال والأعمال، حين يتحول إلى بديل عن التوثيق، قد يصبح غفلة تهدر الحقوق وتنسف أعتى الصداقات.
لهذا، لا تجعلوا الثقة بديلاً عن التوثيق، ولا العشم مبرراً لترك الحقوق معلقة على النوايا، اكتبوا عقودكم بوضوح، وحددوا الحقوق والالتزامات منذ البداية؛ فالعقد لا يعني أننا نشك في من نحب أو نثق به، بل يعني أننا نحمي العلاقة من اختلاف قد تصنعه الأيام والمصالح.
وفي النهاية، الصداقة يحفظها الوفاء، والحقوق يحفظها العقد؛ فلا تحمّلوا الأولى ما لا تحتمل، ولا تتركوا الثانية بلا وثيقة، فكم من صداقة قتلها العشم، وكان يمكن لسطر واضح في عقد أن يبقيها حية.

Ironically, many disputes do not begin with the betrayal of one party, but with differing memories and expectations. One remembers the agreement one way, while the other understands it another way. Who manages? Who decides? How are profits distributed? And what happens if one partner wants to withdraw? These questions seem burdensome at the moment of beautiful beginnings, but they become much heavier when raised for the first time before the judiciary.
In the modern Saudi investment environment, good intentions alone are not enough to resolve disputes; the "Evidence System" has organized means of proof and their validity, and the judiciary, in the face of conflict, seeks what can be proven, not what has settled in intentions.
Modern Saudi legislation, led by the "Companies Law" and the "Civil Transactions Law," has provided a regulatory framework that helps build contractual relationships more clearly. Writing a solid partnership contract, defining shares and responsibilities, and establishing decision-making and exit mechanisms is not distrust of a friend, but a preventive practice that protects the finances of both parties and supports the sustainability of the entity.
A good contract does not only protect money; it sometimes protects the friendship itself, as it shifts sensitive questions from the moment of disagreement to the moment of agreement, when souls are calm and interests are aligned.
"Hope" in the world of finance and business, when it becomes a substitute for documentation, can turn into a lapse that wastes rights and destroys the strongest friendships.
Therefore, do not let trust replace documentation, nor hope justify leaving rights hanging on intentions. Write your contracts clearly, and define rights and obligations from the start; for a contract does not mean we doubt those we love or trust, but rather that we protect the relationship from differences that time and interests may create.
In the end, friendship is preserved by loyalty, and rights are preserved by contracts; do not burden the former with what it cannot bear, nor leave the latter without documentation, for how many friendships have been killed by hope, when a clear line in a contract could have kept them alive.
