The attractiveness of a national economy is not measured solely by the opportunities it provides, but also by the clarity of rights, stability in transactions, and the ability to mitigate risks. From this perspective, the approval of the Council of Ministers for the Commercial Transactions System in its session on Tuesday, October 27, 2027, gains its significance; it is an advanced step in developing the regulatory environment for commercial activities and enhancing confidence in the market, through a comprehensive governance framework that regulates commercial activities and stores, along with their related obligations, contracts, and commercial papers, in line with the best international practices. According to what the Ministry of Commerce announced, the system consists of 271 articles that address commercial activities, merchants and stores, merchants' obligations, accounting records, commercial contracts, and commercial papers, including promissory notes, bills of exchange, and checks. The system replaces three existing systems: the Commercial System, the Commercial Papers System, and the Commercial Books System. The importance of this step lies in bringing together interconnected topics within a single regulatory framework, making it easier to understand its provisions and the relationships between them.
With the approval of the system, a question arises among some members of the community: What is its relation to the Civil Transactions System? Does the existence of two systems for transactions imply redundancy in regulation, or is it a specialization necessitated by the nature of the relationships each addresses? The answer begins with distinguishing between the function of general rules and the function of specialized provisions. The Civil Transactions System addresses the general rules of contracts, obligations, and rights, while the Commercial Transactions System deals with topics related to the specificity of commercial activity and its requirements. Thus, the relationship between them is understood in the context of integration, taking into account the scope and provisions of each system, rather than considering one as a substitute for the other.
Moreover, describing transactions as civil does not necessarily mean limiting them to individuals without establishments, just as the commercial nature of one of the parties is not sufficient alone to judge every relationship they enter into. A disciplined understanding requires looking at the nature of the transaction and the governing texts, away from merely relying on labels.
In this context, the importance of what the new system includes in redefining the merchant, specifying commercial activities, and distinguishing between what acquires its commercial nature through a one-time practice and what requires professional engagement to be considered a commercial activity becomes evident. The clarity of these boundaries represents an important entry point for understanding the applicable provisions and the obligations associated with engaging in the activity.
Among the provisions included by the ministry is the allowance for individuals who have reached the age of fifteen to engage in trade, with permission from their guardian, custodian, or the court. This allowance should be read in conjunction with its controls; it does not mean an unrestricted practice, but rather an organization within the established permission, opening the door for early commercial initiative while ensuring necessary protection.
The system's attention was not limited to defining the merchant's status and activities, but extended to organizing their relationship with the competitive environment; it promotes legitimate competition, addresses harm to competitors, and clarifies the right of the harmed party to request the cessation of harm and seek compensation before the court. The importance of this aspect lies in affirming that competition for opportunities should occur within boundaries that protect rights and balance between the freedom of activity and responsibility for harmful practices. In terms of documenting transactions, the system includes provisions for accounting records, exempting certain categories of merchants from maintaining them, and organizing their preservation electronically or in paper form in Arabic, while allowing the option to preserve them in another language, as clarified by the ministry. This aspect deserves the attention of practitioners; understanding the requirements for records and methods of preservation is part of managing the establishment and organizing its activities, not merely a formal procedure separate from its operations. As for commercial contracts, they have received significant attention in the system; for the first time, according to the ministry's statement, provisions for commercial sales, supply sales, commercial agency, and mediation have been consolidated into a single regulatory document. The practical value of this organization is evident in its connection to transactions that recur in the life of establishments and require clarity in obligations, responsibilities, and mutual rights.
Here, the connection between the quality of the regulatory framework and the quality of economic decision-making becomes clear. A business owner needs to know, before entering into a contract, what they are obligated to and what they can claim, and an investor needs to assess risks based on clear information. The more this picture is regulated, the more prevention of disputes becomes part of the transaction's construction, rather than postponing essential questions until after a dispute arises. Small and medium-sized enterprises hold special importance in this context; the regulatory protection of their transactions and the clarity of contract and agency provisions can help them plan for expansion with greater confidence. However, achieving this benefit requires practical awareness and education, accessible explanations, and reviews of contracts, models, and internal policies, without oversimplification that undermines the precision of provisions or hasty interpretations that precede comprehensive readings. According to what the ministry announced, the system will come into effect 180 days after its publication in the official gazette.
Based on the above, the value of regulatory development lies not only in the multiplicity of systems but in the strength of the connection between them and the clarity of their impact on people's lives and businesses. The integration of civil and commercial transactions, in this sense, is not merely a technical matter for specialists and those interested in the regulatory field; it is a foundation for a more disciplined market, a more reassuring investment environment, and a business environment more capable of growth for the national economy. The desired goal is not only to improve the resolution of disputes after they arise but also to make rights and obligations clearer before they occur. When each party knows what they have and what they owe, trust is based on known regulatory rules, and the system plays its role in protecting rights, stabilizing transactions, and supporting development and prosperity.
